Terms & Conditions

The use of product and/or services (hereinafter referred to as “Services”) offered by GUGI Technologies operating under the brand name of KarmaPlay and/or its partners, subsidiaries, affiliates and associates (hereinafter referred to as “KarmaPlay” or “We” or “Us” or “Our”) through the website www.KarmaPlay.in and the mobile application (hereinafter referred to as “Platform”) by the User (hereinafter referred to as “User” or “You”) is subject to the following terms of service (hereinafter referred to as “Terms”).

Any/every User is required to read all the terms carefully before using our Services. All the terms are binding on all the Users, who can avail our services only when they are complying to the terms at all times. Users are also required or considered to be fully aware of all the updated or modified or published terms.

In an event where one or more of our terms are determined to be invalid, unlawful for any reason by a judicial or quasi-judicial body in India, the validity or enforceability of our remaining terms will not be affected as they will stay valid and binding on all Users. Any User who doesn’t accept our terms of services can or should stop the use of any feature of our Platform.

1. Eligibility

A person who is 18 or more years of age is eligible to use our services, however, if a person violates age restrictions, it’s his/her sole responsibility to bear the legal actions that might follow.

User is required to understand that our services are available only in India. We don’t offer our services in the states of Assam, Odisha, Telangana, Sikkim, Andhra Pradesh, Tamil Nadu, Karnataka and Nagaland in India. We have the right to control the access to our services at all times, in all States in India. These terms of use shall be suitably modified to reflect changes in law/regulation/rule in any of the states in India and the User shall be notified of the same in the event of such change..

2. About the Platform 

The KarmaPlay platform is a knowledge-based platform. The quizzes are intellectual fact and trivia-oriented questions. These quiz questions are generated randomly from a database of questions. 

3. About the Quiz Game 

Quiz Details:

A Quiz can have multiple playing levels. A Level can be of the following types: 

• Finite
• Infinite
  • Finite playing level: A fixed number of questions to be answered in a fixed amount of time. 
  • Infinite playing level: Unlimited number of questions to be answered in a fixed amount of time. 

For either type of playing level, the correct answers will be displayed immediately as soon as the user selects the answer choice.

For any Quiz to award the published Prize Pool amount, the number of registrations must be equal to or greater than the displayed Minimum Required Participants (MRP). If the MRP is not reached 5 minutes before the conclusion of the Quiz, the system will automatically award the winners and rank holders according to the collected Prize Pool at the conclusion of the Quiz. Refer to the attached exhibit link which details the bands of the number of players with points greater than zero and the respective distribution of the prize pool by percentages. Ranking and Prizes for the respective quizzes are only awarded to players who have points greater than zero. A registered user on the KarmaPlay platform can play any respective quiz an unlimited number of times within the Quiz time slot, as long as they pay the registration fee for each time they choose to participate.

KarmaPlay will have the sole discretion to either cancel or conduct any Quiz. In the event any Quiz is canceled for any reason not limited to technical issues, audit compliance issues, or any other reasons, the registration fee shall be credited into the respective accounts of the registered users.

Platform Fee: For each Quiz, KarmaPlay may take a Platform fee. The percentage of the Platform fee is based on the total registration fee collected. The Platform fee percentage is assigned for each Quiz at the sole discretion of KarmaPlay.

 

Participation Refund
For each Quiz, KarmaPlay may choose to refund a certain percentage of the Participation Fee as long as a user has answered at least one question correctly and has points greater than zero for the respective quiz. The percentage of the Participation Fee Refund is based on the total registration fee collected. The Participation Fee Refund percentage may be assigned for each Quiz at the sole discretion of KarmaPlay.

Ranking Pool
For each Quiz, KarmaPlay will assign a certain percentage of the total registration fee collected to pay the winning players who have ranked. The Ranking Pool percentage is assigned for each Quiz at the sole discretion of KarmaPlay.

Ranking & Prize Distribution
Ranking and Prizes for the respective quizzes are only awarded to players who have points greater than zero.

There are 2 types of Quizzes for the sake of Ranking and Prize distribution:

Simple Quiz:
In this quiz, the ranking is only for the first 3 places and the Prize Pool is fixed no matter how many participants register. The details of the Ranking Places and Prize Pool are listed on the Quiz Details page.

Premium Quiz.
In this quiz, a certain percentage of rank holders are awarded prizes. The percentage distribution of the prize money or the Ranking Pool amount is in proportionate bands based on the number of registrations with points greater than zero. Refer to the attached exhibit link which details the bands of the number of registrations with points greater than zero and the respective distribution of the prize pool by percentages. If only a single registration occurs for a quiz, then as long as the player has points greater than zero, the player will receive double the registration fee for that quiz.

4. Payment Terms

All the transactions made on the Platform shall be in Indian Rupees (hereinafter referred to as “Rupees” or “INR”).
Each registered user on the KarmaPlay platform has the option to deposit money into their wallet available on the KarmaPlay platform.
Registered users can play a quiz by paying the Registration fee for the selected quiz. Registered users can choose to debit their wallets or directly pay via all available methods provided by the third-party Payment Gateway provider (Razor Pay).
Prize Money or any Refunds will be credited by default into the respective KarmaPlay wallet of each KarmaPlay registered user.
Any type of refund shall be credited into the users KarmaPlay wallet within seven (7) days.
The User can then choose to withdraw money (Minimum INR 100) from their respective KarmaPlay wallet to their respective Bank account or any other destination options as provided by the third-party Business Banking Platform Partner (Razor Pay).
The User is required to understand and consent that the funds withdrawn from the Platform will not be used for illegal purposes, if a person violates this rule, it is his/her sole responsibility to bear the legal actions that might follow. Hence all liability rests with the respective user.

When a user chooses to withdraw money from their respective wallet, a KYC check is enforced.

KarmaPlay currently requires any one of the 3 forms of identification to validate KYC.

1. PAN Card (User needs to enter PAN Card Number)
2. Driver’s License (User needs to enter Driver’s License Number and Date of Birth – Year-Month- Date)
3. Voter ID (User needs to enter Name and Voter Id on the Voter Id Card)

It is hereby clarified that the KYC Check shall be conducted by a third-party service provider and the information collected by such service provider shall be governed by the privacy policy and terms of use of such third-party service provider. User hereby consents to KarmaPlay sharing data collected from the User for the purpose of conducting KYC check, with the third-party service provider. User also agrees and acknowledges that User shall not be liable to withdraw money from their respective wallet, in the event (i) the KYC check fails, (ii) User is below 18 years of age and (iii) User resides in one of the states where KarmaPlay does not offer its Services i.e., Assam, Odisha, Telangana, Sikkim, Andhra Pradesh, Tamil Nadu, Karnataka and Nagaland.

In the event the User faces any technical glitch or malfunction while participating in the quiz and disputes the result of such quiz, the User shall make a complaint to KarmaPlay within 24 (Twenty-Four) hours of such quiz. It is clarified that in the event of a technical glitch or malfunction due to the software of the Platform, KarmaPlay shall only be liable to refund the participation fees paid by such User, for such quiz. Provided further that in the event the User fails to comply with the above-mentioned timelines, the User shall forfeit the right to dispute the quiz results. 

Provided further that the questions and answers (“Quiz Content”) for the Platform, is provided by a third-party service provider. In the event the User wishes to dispute any Quiz Content, the User agrees and acknowledges that since the same is provided by a third-party service provider, KarmaPlay shall not be liable for any claims raised by the Users with respect to the Quiz Content.

5. User Representation 

Any information provided by you to us, whether at the stage of registration or during any time subsequently, should be complete and truthful.

Prior to adding cash to your user account or participating in Quiz Games, you shall be responsible to satisfy yourself about the legality of playing Quiz Games in the jurisdiction from where you are accessing Quiz Games. If you are not legally competent to individually enter into Indian Rupee transactions through banking channels in India and/or are not accessing the Platform from a permitted jurisdiction, you are prohibited from participating in Quiz Games on the website. In the event of such violation, your participation in Quiz Games will be deemed to be in breach of the Terms and you will not be entitled to receive any prize that you might win in such Quiz Games.

You represent that you are 18 years of age or older to participate in any Quiz Games and are also otherwise competent to enter into transactions with other users and us. You are aware that participation in the Games organized by us (“Activity”) may result in financial loss to you. With full knowledge of the facts and circumstances surrounding this Activity, you are voluntarily participating in the Activity and assume all responsibility for and risk resulting from your participation, including all risk of financial loss. You agree to indemnify and hold KarmaPlay, its employees, directors, officers, and agents harmless with respect to any and all claims and costs associated with your participation in the Activity and any claims and costs associated with the information provided by you for the purpose of accessing the Activity.

You represent that you have the experience and the requisite skills required to participate in the Activity and that you are not aware of any physical or mental condition that would impair your capability to fully participate in the Activity. You further acknowledge that you are solely responsible for any consequence resulting from your participating in this Activity or being associated with this Activity or around this Activity. You understand that KarmaPlay assumes no liability or responsibility for any financial loss that you may sustain as a result of participation in the Activity, regardless of whether such loss was associated with your participation in the Activity in accordance with these Terms or not.

You understand and accept that your participation in a Game available on the platform does not create any obligation on us to give you a prize. Your winning a prize is entirely dependent on your skill as a player vis-a-vis other players in the Game and is subject to the rules of the Game.

You understand and accept that by viewing or using the platform or availing of any Services, or using communication features on the platform, you may be exposed to content posted by other users which you may find offensive, objectionable or indecent. You may bring such content posted by other users to our notice that you may find offensive, objectionable or indecent and we reserve the right to act upon it as we may deem fit. The decision taken by us in this regard shall be final and binding on you.

You understand that the funds in your user account held by KarmaPlay does not carry any interest or return.

6. Intellectual Property

The Platform and the subsequent Quiz Games include a combination of content created by KarmaPlay, its partners, affiliates, licensors, associates and/or Users. The intellectual property rights (“Intellectual Property Rights“) in all software underlying the Quiz Game and the Platform and material published on the Platform, including (but not limited to) games, Contests, software, advertisements, written content, photographs, graphics, images, illustrations, marks, logos, audio or video clippings and Flash animation, is owned by KarmaPlay, its partners, licensors and/or associates. You may not modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works of, distribute, publicly perform, publicly display, or in any way exploit any of the materials or content on the Platform either in whole or in part without express written license from KarmaPlay.

You are solely responsible for all materials (whether publicly posted or privately transmitted) that you upload, post, e-mail, transmit, or otherwise make available on the Platform (“Users’ Content”). 

Each User represents and warrants that he/she owns all Intellectual Property Rights in the User’s Content and that no part of the User’s Content infringes any third-party rights. Users further confirm and undertake to not display or use the names, logos, marks, labels, trademarks, copyrights or intellectual and proprietary rights of any third party on The Platform. You agree to indemnify and hold harmless KarmaPlay, its directors, employees, affiliates and assigns against all costs, damages, loss and harm including towards litigation costs and counsel fees, in respect of any third party claims that may be initiated including for infringement of Intellectual Property Rights arising out of such display or use of the names, logos, marks, labels, trademarks, copyrights or intellectual and proprietary rights on the Platform, by such User or through the User’s commissions or omissions.

You hereby grant KarmaPlay and its affiliates, partners, licensors and associates a worldwide, irrevocable, royalty-free, non-exclusive, sub-licensable license to use, reproduce, create derivative works of, distribute, publicly perform, publicly display, transfer, transmit, and/or publish Users’ Content for any of the following purposes:

• displaying Users’ Content on the Platform
• distributing Users’ Content, either electronically or via other media, to other Users seeking to download or otherwise acquire it, and/or
• storing Users’ Content in a remote database accessible by end users, for a charge.
• This license shall apply to the distribution and the storage of Users’ Content in any form, medium, or technology.

All names, logos, marks, labels, trademarks, copyrights or intellectual and proprietary rights on the Platform belonging to any person (including User), entity or third party are recognized as proprietary to the respective owners and any claims, controversy or issues against these names, logos, marks, labels, trademarks, copyrights or intellectual and proprietary rights must be directly addressed to the respective parties under notice to KarmaPlay.

7. Legality of Game of Skill

Games of skill are legal, as they are excluded from the ambit of Indian gambling legislations including, the Public Gambling Act of 1867.The Indian Supreme Court in the cases of State of Andhra Pradesh v. K Satyanarayana (AIR 1968 SC 825) and KR Lakshmanan v. State of Tamil Nadu (AIR 1996 SC 1153) has held that a game in which success depends predominantly upon the superior knowledge, training, attention, experience and adroitness of the player shall be classified as a game of skill.

The Quiz Game(s) described above (across our Services) are games of skill as success of the User depends primarily on their superior knowledge of the different categories of Quiz Games, including but not limited to general and academic knowledge about certain fixed events taking place in history, politics, economics, popular culture that can be easily ascertained as “facts”. Each of the categories consist of different combinations of questions which are accompanied by certain reasonable answers put in place to increase the difficulty of ascertaining the correct answer which can only be achieved based on the knowledge of the User, thereby indicating the application of mind by the User through their overall skill or knowledge and is not a situation of just chance or luck. 

By participating in this Contest(s), each Participant acknowledges and agrees that he/she is participating in a game of skill.

8. Conditions of Participation 

By entering a Quiz Game, the User agrees to be bound by these Terms and the decisions of KarmaPlay . Subject to the terms and conditions stipulated herein below, KarmaPlay, at its sole discretion, may disqualify any user from a Quiz Game, refuse to award benefits or prizes and require the return of any prizes, if the user engages in unfair conduct, which KarmaPlay deems to be improper, unfair or otherwise adverse to the operation of the Quiz Game or is in any way detrimental to other Users which includes, but is not limited to:

 

• Falsifying ones’ own personal information (including, but not limited to, name, email address, bank account details and/or any other information or documentation as may be requested by KarmaPlay to enter a contest and/or claim a prize/winning;
• Engaging in any type of financial fraud or misrepresentation including unauthorized use of credit/debit instruments, payment wallet accounts etc. to enter a Quiz Game or claim a prize. It is expressly clarified that the onus to prove otherwise shall solely lie on the user.;
• Colluding with any other user(s) or engaging in any type of syndicate play;
• Any violation of Quiz rules or the Terms and Conditions;
• Accumulating points or prizes through unauthorized methods such as automated bots, or other automated means;
• Using automated means (including but not limited to harvesting bots, robots, parser, spiders or screen scrapers) to obtain, collect or access any information on the Platform or of any User for any purpose;
• Any misuse of any offers or promotions by KarmaPlay, its partners, affiliates, licensors, associates and/or Users;
• Tampering with the administration of a Quiz Game or trying to in any way tamper with the computer programs or any security measure associated with a Quiz Game;
• Obtaining other users’ information without their express consent and/or knowledge and/or spamming other users (Spamming may include but shall not be limited to send unsolicited emails to users, sending bulk emails to KarmaPlay Users, sending unwarranted email content either to selected Users or in bulk); or
• Abusing the Platform in any way (‘unparliamentary language, slangs or disrespectful words’ are some of the examples of Abuse)

It is clarified that in case a User is found to be in violation of this policy, KarmaPlay reserves its right to initiate appropriate Civil/Criminal remedies as it may be advised other than forfeiture and/or recovery of prize money if any.

9. Breach of Terms and Voluntary Termination:

If we find any user breaching our security and privacy protocols, following an internal investigation, we may decide to undertake a range of actions, depending upon the severity of the detected breach. We reserve the sole right to act and take one or more of the following actions:

• We can stop the services, indefinitely, on a user’s account.
• We can permanently terminate a user’s account from our website.
• We can collapse the withdrawable cash in your account.
• We can demand compensation for the damages occurred because of a breach and even prosecute a user for offensive violations, violations contrary to prevailing law, if need be.
• We can bar you from registering on our website in the future.

 

You understand that our decision to suspend or terminate your services is binding on you and is it at our sole discretion. 

If the need be, you can opt out of using our services at any point of time by sending an email to KarmaPlay support either via the support portal in the mobile application or then emailing KarmaPlay via the Platform.

The User Account shall be terminated by KarmaPlay management within seven (7) Days and the entire amount in the wallet which may include All Winnings, Refunds and Deposits will be credited into the User’s specified account within seven (7) Days post termination of the account.

10. Amendments/ Modifications of Terms and Conditions

KarmaPlay reserves the right to change the terms, conditions and notices under which Services are offered including but not limited to the changes associated with the User of the Services and changes on account of legal and/ or statutory amendments. The User is responsible for regularly reviewing these terms and conditions and is advised to regularly check for any amendments or updates to the terms and conditions. All amendments become effective immediately upon our posting on the website.

11. Governing Law, Dispute resolution & Jurisdiction:

The Terms and Conditions shall be interpreted in accordance with the laws of India.
Any dispute, controversy or claim arising out of the Terms or Privacy Policy shall be subject to the exclusive jurisdiction of the civil courts at Mumbai, Maharashtra

12. Grievance Redressal Mechanism 

In case User has any complaints or grievance pertaining to (i) any User Content that you believe violates these Terms (other than an infringement of Intellectual Property Rights), (ii) your access to the Platform or (iii) any User Content which you believe is, prima facie, in the nature of any material which is obscene, defamatory towards the complainant or any person on whose behalf you are making the complaint, or is in the nature of impersonation in an electronic form, including artificially morphed images of such individual, please share the same with us by writing to: gautam.shelar@karmaplay.in

• Your complaint or grievance, must include the following information:

1. Your name and contact details: name, address, contact number and email address;
2. Your relation to the subject matter of the complaint, i.e., complainant or person acting on behalf of an affected person;
3. The name and age of the person aggrieved or affected by the subject matter of the complaint, in case you are acting on behalf of such person and a statement, under penalty of perjury, that you are authorised to act on behalf of such person and to provide such person’s personal information to us in relation to the complaint/grievance;
4. Description of the complaint or grievance with clear identification of the User Content in relation to which such complaint or grievance is made;
5. A statement that you believe, in good faith, that the User Content violates these Terms
6. A statement that the information provided in the complaint or grievance is accurate.

• KarmaPlay respects the Intellectual Property Rights of others. All names, logos, marks, labels, trademarks, copyrights or intellectual and proprietary rights on the Platform belonging to any person (including User), entity or third party are recognized as proprietary to the respective owners. In the event you notice any act of infringement on the Platform, You are requested to send us a written notice containing the following information:

1. A clear identification of the intellectual property right, allegedly infringed;
2. A clear identification of the allegedly infringing material on the Platform;
3. Your contact details: name, address, e-mail address and phone number;
4. A statement that you believe, in good faith, that the use of the copyrighted material allegedly infringed on the Platform is not authorized by your agent or the law;
5. A statement that the information provided in the notice is accurate, and under penalty of perjury, that the signatory is authorized to act on behalf of the owner of an exclusive copyright right that is allegedly infringed;
6. Your signature or a signature of your authorized agent.

• On receiving such complaint, grievance or notice, KarmaPlay reserves the right to investigate and/or take such action as KarmaPlay may deem appropriate. KarmaPlay may reach out to you to seek further clarification or assistance with the investigation, or verify the statements made in your complaint, grievance or notice, and you acknowledge that your timely assistance with the investigation would facilitate the redressal of the same.

KarmaPlay reserves the right to replace the Grievance Redressal Officer at its discretion through publication of the name and title of such replacement on the website, which replacement shall come into effect immediately upon publication.

13. Referral Program

• KarmaPlay may offer referral programs (“Referral Program”) on the Platform to allow all its Users to receive certain rewards in the form of KarmaPlay Tokens or cash (“Rewards”) for each player that they refer to play on the Platform, subject to a maximum limit of Rs. 50 (Rupees Fifty Only).
• All active Users of the Platform are eligible to participate in the Referral Program except in cases where an Account has been suspended or has otherwise been disallowed by KarmaPlay from participation in the Referral Program.
• Only ‘successful referrals’ will be counted and eligible to receive the Rewards. For the purpose of these Terms, a successful referral shall occur once a new User has registered on the Platform, completed the sign-up by clicking on the referral link of the referrer or by putting the referrer’s unique referral code and made their first deposit in the wallet available on the Platform.
• Additional terms applicable to all Referral Programs

1. The nature and value of Rewards to be credited will be based on the Referral Program offered by KarmaPlay at any given point in time to an individual User.
2. Referral links will be generated from each User’s Account on the Platform.
3. Rewards and their types are subject to change at KarmaPlay’s discretion without notice.
4. Users found to have been committing fraud will be blocked from the KarmaPlay platform.
5. A user can refer up to 100 friends.
6. KarmaPlay reserves the right to change rules and regulations without notice.
7. Please contact us in case of further queries. The nature and value of Rewards to be credited will be based on the Referral Program offered by KarmaPlay at any given point in time to an individual User.

• Disqualification from Referral Programs

1. Users will not receive credit for referring themselves by creating multiple Accounts.
2. KarmaPlay reserves the right, in its sole discretion, to suspend or disqualify an Account from the Referral Program or nullify the referral Rewards.

• Taxes 

The Users are responsible for paying any and all taxes or commissions related to the Rewards earned by them through the Referral Programs on the Platform. KarmaPlay reserves the right to withhold taxes as appropriate and as required under Applicable Laws.
